1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the services provided by Drona Cyber Solutions (“we”, “us”, “our”) to you, the “Client” or “you”. By engaging our services or accessing our website, you agree to be bound by these Terms. If you do not agree, you must not use our services.

2. Definitions

• Services: All cybersecurity, forensic investigations, consulting, training, software, hardware, partnership or other offerings delivered by Drona Cyber Solutions.
  
  
• Client: The individual, company or organisation that agrees to purchase or engage our Services.
  
  
• Confidential Information: Any private or proprietary information shared between parties, including but not limited to trade secrets, methodologies, data, or reports.
  
  

3. Scope of Services

Prior to commencement, we will issue a formal proposal or Statement of Work (“SOW”) detailing the scope, deliverables, timeline, fees and responsibilities. Services will proceed only upon Client’s acceptance of the SOW and this Agreement.

4. Client Obligations

You agree to:

• Provide accurate, complete and timely information required by us.
  
  
• Grant necessary access, permissions and cooperation to enable delivery of the Services.
  
  
• Ensure that you have legal authority to engage us to perform the Services on the systems or data in question.
  
  
• Implement reasonable safeguards prior to commencement where applicable (such as backups for penetration testing or forensic work).
  
  

5. Confidentiality

Each party shall treat the other’s Confidential Information as strictly confidential and not disclose it to any third party without prior written consent, except as required by law. This obligation continues after termination of Services.

6. Intellectual Property

Unless otherwise agreed, Drona retains all intellectual property rights to its methodologies, tools, reports, software and other deliverables. Clients are granted a limited, non-exclusive, non-transferable licence to use deliverables internally for the purpose defined in the SOW.

7. Acceptable Use

You agree to utilise our Services in compliance with applicable law. You must not use the Services for illegal purposes, in violation of licences, or to attempt unauthorised access, misconfiguration or misuse of systems. We reserve the right to suspend or terminate Services if misuse is detected.

8. Warranties and Disclaimers

• We warrant that Services will be conducted with reasonable skill and care in line with industry standards.
  
  
• Except as explicitly provided, Services are provided “as is”.
  
  
• We do NOT guarantee that you will be entirely free from cyber-risk after our engagement nor that no breach will occur.

9. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability under or in connection with any SOW shall not exceed the fees paid by the Client for that specific Service.
  
  
• We shall not be liable for any indirect, consequential, special or punitive damages, including but not limited to business interruption, data loss, reputation damage.
  
  

10. Indemnification

You agree to indemnify and hold harmless Drona, its officers, employees, agents and subcontractors from any claims, losses, liabilities, costs or expenses arising out of: your breach of these Terms; your use of the Services unlawfully; or your failure to fulfil your obligations.

11. Termination

Either party may terminate the engagement upon written notice if the other party breaches a material term and fails to remedy. Termination does not relieve you of your payment obligations or our confidentiality obligations.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts In Ahmedabad, Gujarat.

13. Amendments

We reserve the right to modify these Terms at any time. We will notify you of changes. Your continued use of our services after modification constitutes your acceptance of the revised terms.

14. Third-Party Services

If the Services include third-party hardware, software or services, your use of such items is subject to the third-party’s terms and you agree to comply. We do not assume liability for third-party service failures.

15. Entire Agreement

These Terms and the applicable SOW constitute the entire agreement between you and Drona Cyber Solutions. They supersede all prior agreements, understandings or communications relating to the subject matter.
